Due Diligence
A commercial and professional perspective
For Due Diligence exercises we bring an objective and professional viewpoint which is grounded in real world operating experience. Our advisers have all worked in top roles in the commercial world. We have extensive experience in many market sectors and we have the tacit and practical know-how to ask the right questions, and to drill down into those areas that are identified as key risks. We carry out commercial and financial due diligence on behalf of institutional and private investors, banks and stockbrokers, and we can perform pre-sale due diligence for companies which are seeking to exit. The process will include -
- Bringing key issues to your attention early on
- Contributing to the assessment of the share of risks between parties, and appropriate warranties and indemnities
- Provision of a detailed assessment of company management
- Reporting on the company’s market, strategy, customers, suppliers and operations
- Checking the existence of assets and liabilities on the balance sheet
- Checking and commenting on the profitability and cash generation of the business, including the reliability of budgets and forecasts
- Assessing the quality of systems and controls
- If required, coordinating technical, IPR, environmental or other such audits
- Liaising with the lawyers undertaking legal due diligence
We believe that a due diligence exercise is essentially about providing the key information on a company that helps determine fundability or price, minimising your risk and providing negotiation advantages. We will work with you to plan the appropriate level of enquiry to ensure that the exercise matches the size of the company and the required funding.
We fully understand that there can be particular pressures on budgets for due diligence when funding requirements are lower than the £2m mark, and when the investee is early stage. Our fee levels are highly competitive and represent serious value for money.
